By purchasing any products from Denemmotion (via our website, denemmotion.com), and/or by accessing or using our website (including registering an account, downloading information, or interacting with our online services), you acknowledge that you have read, understood, and agree to comply with the following terms and conditions.
1. General Agreement & Local Compliance
All products sold by Denemmotion comply with federal regulations for their respective product categories in Canada and with applicable provincial regulations at the time of purchase.

User Responsibility: The buyer is solely responsible for understanding and complying with all applicable provincial laws, municipal regulations, and local bylaws related to the operation, licensing, insurance, and use of e-bikes, e-scooters, or mobility vehicles in their specific area.

Speed & Operation: If a product is mechanically capable of exceeding local legal speed limits, Denemmotion is not responsible for the speed or manner in which the driver operates the vehicle.

Legislative Changes: Any future changes to legislation or regulatory classification affecting where or how the product(s) may be used are entirely outside the control of Denemmotion and shall not constitute valid grounds for a return, refund, or compensation.
By completing your purchase, the buyer confirms and agrees to assume full responsibility for the lawful use of the product(s) under both current and future legal frameworks, and agrees to adhere strictly to all manufacturer (EMMO) policies regarding returns, exchanges, and warranty.
2. Pricing, Currency, and Promotions

Currency and Regional Scope: Denemmotion primarily services the Canadian retail market. All prices listed on our website are displayed in Canadian Dollars (CAD) by default. Listed prices do not include shipping fees, local provincial taxes, or HST/GST, which will be calculated and displayed at checkout. For any inquiries regarding international orders or shipments outside of Canada, customers must contact our support team prior to purchase.

Promos and Sales Campaigns: Denemmotion aligns its retail pricing and promotional discounts with the official marketing campaigns authorized by the manufacturer (EMMO Inc.). Promotional discounts, coupon codes, and nationwide event offers must be applied at the exact time of checkout. They cannot be retroactively applied to prior or completed transactions. Unless otherwise stated, promotional codes cannot be combined with other offers and are not valid if expired, even if still visible on the site.
3. Order Confirmation and Verification
Upon placing an order, Denemmotion or our payment processors may require the buyer to provide valid identification and verified proof of the shipping address for fraud prevention and security verification purposes before the order is dispatched from the manufacturer warehouse.
4. Direct Shipping, No Pre-Delivery Inspection (PDI), and Assembly Risks
Denemmotion operates strictly as an online authorized dealer. We do not operate a physical retail store, we do not handle or warehouse inventory, and we do not provide mechanical assembly or Pre-Delivery Inspections (PDI).

Drop-Shipping Structure: All vehicles are shipped directly from the central manufacturer (EMMO) warehouse straight to the delivery address provided by the customer.

Assembly Requirements: Your vehicle will arrive boxed and approximately 80–90% assembled. The buyer is fully and entirely responsible for completing the remaining assembly correctly and safely.

Assumption of Risk: To ensure the manufacturer warranty remains valid and the vehicle is safe to operate, we strongly recommend having the final assembly performed by a certified bicycle or e-bike mechanic. The buyer assumes all risks of personal injury, property damage, or death arising from improper or incorrect self-assembly.
5. Shipping Damage & Critical 24-Hour Inspection Window
Because shipments are handled via third-party freight carriers directly from the manufacturer warehouse, the buyer must perform a thorough visual inspection of the package immediately upon delivery.
CRITICAL TIMELINE: Damage must be reported strictly within twenty-four (24) hours of delivery with photographic or video evidence, proof of purchase, and a copy of the delivery receipt to our support email at info@denemmotion.com. Failure to report transit damage within this 24-hour window completely voids all freight and manufacturer transit claims.

Minor Cosmetic Damage: If the damage is strictly cosmetic (scratches, scuffs), accept the shipment, explicitly write a description of the cosmetic damage on the carrier's Bill of Delivery/Receipt before the driver leaves, and notify us immediately with photos.

Major Structural/Safety Damage: If the box or vehicle has sustained major structural or safety damage (bent frame, crushed battery pack, severed wiring), you must immediately refuse the shipment. Clearly note the damage as the reason for refusal on the carrier's Bill of Delivery before the driver departs, and notify us immediately at info@denemmotion.com.

Independent Freight Disclaimer: Transit and structural damage claims are completely void if the buyer arranges their own independent shipping method or utilizes a private freight forwarder.
6. Performance Disclaimer and Product Updates
All stated performance figures listed on our website (including maximum range, speed, battery lifespan, and load capacity) are engineering estimates provided by the manufacturer and are not guaranteed. Actual real-world performance will vary significantly depending on rider weight, carried cargo, terrain, elevation changes, weather conditions, ambient temperature, riding style, and overall battery age/condition.
The manufacturer (EMMO) reserves the right to change, update, or substitute parts, suppliers, or manufacturing processes at any time with components of equal or greater quality. Such standard production changes do not constitute valid grounds for a return, refund, or financial compensation from Denemmotion.
7. Warranty Claims, Returns, and Technical Service
Denemmotion operates purely as an independent sales intermediary. We do not perform local mechanical repairs or in-person technical troubleshooting.

Dealer-Led Support Loop: For all warranty claims, technical troubleshooting, assembly questions, or defective parts replacement, the buyer must contact Denemmotion support directly by emailing info@denemmotion.com. Denemmotion will process and submit your technical data directly to the manufacturer's engineering portal on your behalf. Do not contact the manufacturer directly, as corporate staff cannot process retail dealer tickets.

Component-Only Warranty Coverage: All purchases are subject strictly to the manufacturer's limited warranty parameters. As detailed in our comprehensive Warranty Policy, coverage is limited to component-only replacements. Denemmotion assumes no liability for repair labor, mechanical diagnostic fees, shop rates, or tuning charges. All assembly and repair labor costs remain the sole responsibility of the buyer.

Warranty Shipping Responsibility: In the event that the manufacturer requires a suspected defective component to be returned to the central depot for physical bench testing, the buyer assumes sole financial responsibility for all inbound shipping, freight, and insurance costs required to transport the part to the evaluation center.
8. Modification Disclaimer
Any unauthorized alteration, modification, tampering, or disassembly of the vehicle—including but not limited to changes to the factory electrical system, speed controller limits, motor, battery pack, charger, or structural frame components—may severely compromise the safety and performance of the vehicle. Any such modifications will immediately void all manufacturer warranties and shall be undertaken at the user’s sole, exclusive risk.
9. Battery, Charger, and Product Life Expectancy Guidelines
Many components of an e-bike, e-scooter, or e-trike have a finite rated operational lifetime. While proper storage and maintenance can maximize longevity, the buyer agrees to use the following manufacturer guidelines for safety and maintenance tracking:

Lead-Acid Battery: Estimated 2 years (approx. 500 charge cycles). Requires annual capacity and safety testing by a qualified technician.

Lithium-Ion Battery: Estimated 4 years (approx. 1000 charge cycles). Requires annual capacity, structural, and safety testing by a qualified technician.

Charger: Estimated 4 years. Requires annual functionality testing.

Inspection Frequency: The entire vehicle must be mechanically inspected by a qualified technician at least once every six (6) months. The buyer assumes full responsibility for performing a comprehensive pre-ride safety check (including brakes, tire pressure, and steering) before every single ride.
Components that have exceeded their rated service life or no longer provide expected performance metrics must be replaced immediately to prevent catastrophic failure. Failure to comply with regular inspection and maintenance requirements may lead to severe injury, property damage, or death.
10. Used, Demo, or Refurbished Items
All used, floor-model demo, or manufacturer-refurbished products sold via our platform are strictly FINAL SALE and provided entirely AS-IS, without any dealer guarantees as to their cosmetic or mechanical condition. By purchasing an AS-IS item, the buyer acknowledges its used status and explicitly assumes all risks of use, including the risk of mechanical malfunction, personal injury, or property damage.
11. Assumption of Risk
Operating any e-bike, e-scooter, e-trike, or similar lightweight electric vehicle involves severe inherent risks, including but not limited to falls, loss of control, collisions with motor vehicles or pedestrians, equipment failure, and unpredictable road or traffic hazards. These risks can result in severe property damage, catastrophic personal injury, or death.
By purchasing and using these products, you explicitly acknowledge and voluntarily assume all such risks, whether known or unknown, even if caused in part by the negligence of Denemmotion, the manufacturer, or third parties. We strongly require and emphasize that riders must wear a properly fitted, certified helmet and appropriate protective gear at all times.
12. Limitation of Liability
Denemmotion operates purely as an independent sales intermediary. Denemmotion, its owners, and its operators shall not be held liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to medical expenses, loss of profits, loss of wages, personal injury, property damage, or any other intangible losses arising from the purchase, delivery, assembly, use, or inability to use our sold products.

Maximum Financial Liability: In no event shall Denemmotion’s total financial liability exceed the exact total amount paid by you directly to Denemmotion for the specific purchase transaction giving rise to the claim.
13. Indemnification and Waiver of Subrogation
You agree to indemnify, defend, and hold harmless Denemmotion, its officers, owners, employees, and digital platform partners from any third-party claims, liabilities, legal damages, losses, or expenses (including reasonable legal and attorneys' fees) arising out of or related to your purchase, assembly, use, or misuse of any products bought through our platform, your violation of these Terms, or your violation of any provincial or federal laws.
You further agree that your personal insurance providers (including home, auto, or medical insurance) shall waive any and all rights of subrogation against Denemmotion and its affiliates. You assume sole responsibility for ensuring your personal insurance policies accommodate this requirement.
14. Dispute Resolution, Binding Arbitration, and Governing Law
Except where prohibited by provincial consumer protection laws, all legal disputes, controversies, or claims arising out of this purchase shall be resolved exclusively through private, binding arbitration rather than in a court of law.

Waiver of Class Actions: You explicitly agree that any legal dispute may only be brought forward in your individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative action.

Time Limit on Claims: Any legal claim or arbitration request arising out of a transaction with Denemmotion must be filed within one (1) year of the event giving rise to the claim, or be permanently barred.

Governing Law: These Terms, the website architecture, and all sales transactions are governed strictly by the laws of the Province of British Columbia and the applicable federal laws of Canada, without regard to conflict of law principles. Any required physical legal or arbitration proceedings shall take place locally within British Columbia.
15. Entire Agreement & Severability
These Terms of Purchase, alongside our integrated Privacy Policy and Shipping/Returns disclosures, constitute the entire legal agreement between you and Denemmotion regarding your purchase. If any individual provision within these terms is found by an arbitrator or court of competent jurisdiction to be invalid or unenforceable, that specific provision shall be severed, and the remaining terms shall continue in full force and effect.
